Terms of Use

1. Eligibility

You must be at least 16 years old to use the Service. By using the App, you represent and warrant that you meet this age requirement. If we learn that a user is under 16, we will terminate their account and delete their data.

2. Account Registration

To access certain features, you must create an account using a valid email address or a supported third-party sign-in provider (e.g., Apple Sign-In). You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms.

3. Subscription and Payments

3.1 Free and Pro Tiers

The App offers a free tier with limited features and a Pro subscription with expanded access, including AI-powered coaching, workout generation, meal scanning, and full analytics.

3.2 Free Trial

New subscribers may be eligible for a free trial period. You will not be charged during the trial. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription at the applicable rate.

3.3 Billing

• Subscriptions are billed through Apple's App Store via In-App Purchase
• Payment is charged to your Apple ID account upon confirmation of purchase
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period
• Renewal is charged at the then-current subscription rate

3.4 Cancellation

You may cancel your subscription at any time through your Apple ID settings (Settings > Apple ID > Subscriptions). Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

3.5 Price Changes

We may change subscription prices at any time. Price changes will take effect at the start of the next billing period following notice. Your continued use of the Service after a price change constitutes acceptance of the new price.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Impersonate any person or entity
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorized access to any part of the Service
• Use automated systems (bots, scrapers) to access the Service
• Reverse engineer, decompile, or disassemble any part of the App
• Reproduce, redistribute, or create derivative works from the Service
• Share your account credentials with others
• Submit false, misleading, or fraudulent information

5. AI-Powered Features

5.1 Nature of AI Content

The App uses artificial intelligence to provide workout recommendations, coaching guidance, nutrition estimates, and meal analysis. AI-generated content is informational only and is not a substitute for professional medical advice, diagnosis, or treatment.

5.2 No Medical Advice

The Service does not provide medical advice. AI coaching, workout plans, and nutrition information are generated by machine learning models and may contain errors or inaccuracies. Always consult a qualified healthcare professional before starting any exercise or nutrition program, especially if you have pre-existing health conditions, injuries, or dietary restrictions.

5.3 Accuracy

While we strive for accuracy, we do not guarantee that AI-generated content (including nutritional estimates from meal scanning) is complete, accurate, or suitable for your specific circumstances. You use AI features at your own risk.

5.4 Third-Party AI Providers

AI features are powered by third-party providers (e.g., OpenAI, Anthropic). Your interactions with AI features may be processed by these providers subject to their own terms and policies. We do not send personally identifiable information (such as your name or email) to AI providers; only fitness profile data and conversation context necessary to generate responses.

6. User Content

6.1 Your Content

You retain ownership of content you submit through the Service, including meal photos, workout logs, and feedback (“User Content”). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and store your content solely for the purpose of providing and improving the Service.

6.2 Content Restrictions

You agree not to submit content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable. We reserve the right to remove any content that violates these Terms.

7. Intellectual Property

The Service, including its design, code, AI models, branding, and content (excluding User Content), is owned by GoldBits LLC and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

9. Health and Fitness Disclaimer

9.1 Not a Medical Device

The App is a fitness and wellness tool, not a medical device. It is not intended to diagnose, treat, cure, or prevent any disease or health condition.

9.2 Physical Activity Risks

Physical exercise carries inherent risks, including but not limited to injury, illness, or death. By using the Service, you acknowledge these risks and assume full responsibility for your physical activity. You should consult with a physician before beginning any exercise program.

9.3 Nutritional Information

Nutritional data provided by the App (including AI-estimated values from meal scanning) is approximate and may not be accurate. Do not rely on the App for managing medical dietary requirements (e.g., diabetes, food allergies, eating disorders).

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOLDBITS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless GoldBits LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

13.2 Informal Resolution

Before filing any formal dispute, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

13.3 Arbitration

If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the State of Wyoming. You agree to waive any right to a jury trial or to participate in a class action.

13.4 Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the App or by other reasonable means. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination:

• Your license to use the App is immediately revoked
• You remain responsible for any outstanding charges
• Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and dispute resolution) will survive

You may terminate your account at any time by deleting your account within the App.

16. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and GoldBits LLC regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.

17. Apple App Store

The App is licensed to you for use only as expressly permitted in these Terms. The following provisions apply when you obtain or use the App from the Apple App Store.

17.1 Acknowledgment

You acknowledge that these Terms are concluded between you and GoldBits LLC only, and not with Apple Inc. (“Apple”). GoldBits LLC, not Apple, is solely responsible for the App and its content. The App must comply with the Apple Media Services Terms and Conditions and the Usage Rules set forth therein.

17.2 Scope of License

The license granted to you in Section 7 is limited to a non-transferable license to use the App on any Apple-branded product that you own or control, and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

17.3 Maintenance and Support

GoldBits LLC is solely responsible for providing any maintenance and support services for the App, as specified in these Terms or as required under applicable law. You and Apple acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services for the App.

17.4 Warranty

GoldBits LLC is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price of the App (if any) to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be GoldBits LLC's sole responsibility.

17.5 Product Claims

You and Apple acknowledge that GoldBits LLC, not Apple, is responsible for addressing any claims you or any third party may have relating to the App or your possession and/or use of the App, including, but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation, including in connection with the App's use of the HealthKit framework.

17.6 Intellectual Property Rights

You and Apple acknowledge that, in the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, GoldBits LLC, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim, to the extent required by these Terms.

17.7 Legal Compliance

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

17.8 Third-Party Beneficiary

You and GoldBits LLC acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
